Chairman of the Board of Directors

Your responsibility
  • Strategic management: development and monitoring of the corporate strategy. Ensuring the long-term competitiveness of the company. Reviewing and approving important investment decisions (e.g. new production abroad).
  • Managing the Board of Directors: preparing and chairing meetings of the Board of Directors. Ensuring efficient cooperation between the members of the Board of Directors. Moderation of discussions and decision-making processes.
  • Monitoring the management: reviewing the achievement of management objectives. Evaluating compliance with legal and regulatory requirements. Ensuring transparent and effective communication between the Executive Board and the Board of Directors.
  • Representing the company: representing the company externally, e.g. to stakeholders, authorities, banks and investors. Establishing and maintaining networks and relationships with relevant partners.
  • Risk management: monitoring financial stability and the risk situation. Definition of risk mitigation measures. Adherence to compliance standards.
  • Promoting innovation: Providing impetus for technological and process innovations. Supporting the introduction of new production processes or products.
 
Your profile
  • Industry-specific knowledge: In-depth knowledge of manufacturing industries and their challenges. Experience with international expansion. 
  • Business management expertise: familiarity with key financial figures, strategy development and corporate management in the context of 400 million annual sales.
  • Legal knowledge: Knowledge of compliance, corporate governance and regulatory requirements.
  • Management experience: Many years of experience (approx. 15 years and/or 3 companies) at top management level, ideally in the production sector of a medium-sized SME with international subsidiaries. Ability to motivate teams and reach decisions based on consensus. At least 5 years' experience as a member of the Board of Directors.
  • Analytical skills: Strong problem solving and risk assessment skills. Strategic and long-term thinking.
  • Social skills: Excellent communication skills. Negotiation and diplomacy skills. Conflict resolution skills. The ability to communicate on an equal footing with the CEO and other members of the Board of Directors.
  • Integrity and a sense of responsibility: High level of ethical standards and responsibility. Reliability and transparency in dealing with information.
  • Innovation orientation: Creative and innovative personality who challenges and engages the management team.
  • Time availability: Willingness to devote sufficient time to the duties of the Board of Directors and the supervision of the company, approx. 6 Board meetings per year and 1 x per month a "face-to-face" meeting with the CEO. The ideal candidate will not have a full-time job, but will be a semi-retired partner, consultant or similar.
  • Foreign languages: German, French and English. Knowledge of Spanish or Polish is a plus.

Our mandate is to ensure succession planning in order to successfully guarantee the ongoing expansion and extension of production abroad.
